Logos RFP Program – Terms & Conditions

Last updated: 21 July 2026

These Terms and Conditions ("Terms") are entered into by and between Logos Collective Association, Baarerstrasse 10, 6300 Zug, Switzerland ("Logos", "we", or "us") and any individual or legal entity participating in the Program, including by submitting any proposal to the Logos RFP Program GitHub repository ("you", or "Applicant") (each a "Party" and together the "Parties").

By making a Submission to the Program through the relevant Program GitHub repositories or any other platform designated by Logos, you acknowledge that you have read, understood, and agree to be bound by these Terms.

You can contact us about these Terms in case you have any questions: ecosystem@logos.co

Logos RFP Program Overview

The Logos RFP Program supports independent teams to develop open-source software that benefits the Logos ecosystem. This section explains the respective roles of Logos, grant recipients and users, and how responsibility for software developed under the Program is allocated. References to "Logos" in these Terms include Logos Collective Association and its Affiliates and related entities, including any entity that awards or administers the grants under the Program.

The Program is a discretionary ecosystem support initiative intended to encourage independent teams and developers to build open-source tools, infrastructure, applications, integrations and other contributions that demonstrate the capabilities of the Logos technology stack and can accelerate its adoption.

Projects supported under the Program may range from experimental prototypes and proofs-of-concept to production-ready or near-production-ready applications and integrations. The Program is designed to support clearly scoped deliverables, typically structured into milestones, with the aim of strengthening the ecosystem through reusable open-source work and credible "social-proof" of ecosystem progress.

Logos role. Logos acts solely as the grantor by identifying proposed outcomes through RFP specifications, evaluating submissions, and awarding grants. The Logos technology stack is made available as open-source infrastructure intended for independent use by developers. Logos and its Affiliates support the growth of the ecosystem but do not custody or control users' assets and do not build, deploy, host, operate or control any software, protocol, application or infrastructure developed under the Program, and, except for an RFP specification expressly designated for integration into a Logos-maintained framework or repository, does not publish or maintain such software.

RFP Specifications. RFPs are typically identified through analysis of gaps in the Logos ecosystem, by reference to the categories of infrastructure and applications commonly found in mature blockchain ecosystems, and to technical dependencies between components, where one RFP may build on a primitive delivered under another. RFP specifications are typically informed by existing approaches and implementations in other ecosystems and by functional requirements. Considerations may include open-source delivery, trust minimisation and non-custodial design, however, these are indicative rather than exhaustive and any given RFP may reflect further or more specific considerations. Any such specificity of an RFP may reflect the need for anything built for the ecosystem to be technically compatible with the capabilities and direction of the Logos technology stack. The scope of an RFP and the selection of any Submission reflect that technical and ecosystem fit and do not constitute an endorsement of any team, project or intended use. Logos retains full discretion over what, when and on what subject to publish an RFP and nothing in this description limits that discretion.

An RFP is not a commitment nor should it be construed as an intention by Logos to build, deploy, operate or maintain anything. RFP specifications published under the Program describe outcomes that may benefit the Logos ecosystem, and they are proposals rather than instructions. The requirements in an RFP specification define the properties a successful outcome must satisfy and are the criteria against which Submissions are evaluated and against which milestones are assessed under the relevant Grant agreement; the design and implementation approach remains the applicant's. Logos makes no representations as to the legal or regulatory treatment of an RFP specification, or of any implementation of it, in any jurisdiction. Nothing in an RFP specification constitutes legal, regulatory, financial or technical advice and each Applicant must obtain its own advice before implementing a specification. Each recipient of a grant under the Program remains responsible for determining whether and how it can implement an RFP specification consistently with its own legal and regulatory obligations.

Teams that undertake an RFP act independently. They are solely responsible and retain the discretion concerning the approach for designing, building and publishing, and maintaining any software they develop under a proposal accepted through the Program and, where they choose to deploy or operate it, for doing so. They are also solely responsible for assessing the risks and implications of what they build, including any legal or regulatory implications and for complying with the laws that apply to them.

Anyone who chooses to deploy, host, operate or use software developed under the Program, whether or not they were awarded a grant under the Program, does so at their own risk and is solely responsible for complying with any legal or regulatory requirements that apply to them, including, where relevant, any licensing, registration, sanctions or anti-money laundering obligations that may arise from operating any software as a service or business.

Acceptance of a submission or payment of a grant does not constitute an endorsement, audit, security review, or warranty of that software by Logos.

Logos retains sole and absolute discretion over the design of the Program, the content and nature of any RFP specifications, the evaluation of Submissions, the selection (or non-selection) of Applicants, and the award or non-award of any Grant. No Applicant will have any entitlement to receive a Grant.

You shall indemnify, defend and hold harmless Logos and its Affiliates from and against any and all third party claims, liabilities, damages, losses and expenses (including reasonable professional fees) arising out of or in connection with any breach of the representations, warranties or obligations set out in these Terms.

Submissions

Only one submission per RFP

Each Submission shall target only one RFP as defined in the relevant RFP specification. A team or individual may submit to multiple RFPs, but are limited to providing one proposal per RFP.

Manner of submissions

Submissions must be made through the Program GitHub repository workflow, as indicated in the applicable RFP specification or an alternative platform as communicated by Logos.

Submission requirements

A valid Submission must satisfy all of Logos' requirements as set out in the relevant RFP specification and the applicable submission template, including, where requested, identification of the relevant RFP, project and team information, contact details, a description of the proposed work, technical approach, milestone structure and timeline, requested budget, relevant experience, and any other information or materials specified by Logos for that RFP.

Logos reserves the right not to review any incomplete or partial Submissions or any Submission that does not meet the mandatory requirements of the applicable RFP specification or submission template.

Open source licensing

Applicants shall ensure that any code and technical deliverables produced under the Program are made available under the MIT License and the Apache License 2.0, unless otherwise agreed in writing.

Public and non-confidential nature of Submissions

Applicants acknowledge that all Submissions are made on a voluntary, public, and non-confidential basis. The content of a Submission may be publicly visible in the relevant repository and may be viewed, commented on and discussed in accordance with GitHub functionality. Applicants are solely responsible for ensuring that no confidential or sensitive information is included in their Submission.

Intellectual Property

Retained ownership

Subject to the licences granted below, Applicants retain ownership of the intellectual property rights in their respective submissions.

Licence to Logos

By making a Submission, Applicants grant Logos and its Affiliates a worldwide, perpetual, irrevocable, non-exclusive, royalty-free licence (with the right to sublicense) to use, reproduce, display, perform, distribute, adapt, modify, and create derivative works from Applicant's Submission and related materials for purposes connected with the Program, the Logos technology stack, and the broader Logos ecosystem, including without limitation for testing, evaluation, promotion, documentation, and demonstration.

Evaluation and Judging

Eligibility for evaluation

Only Submissions that satisfy all mandatory requirements and success criteria defined in the applicable RFP specification will be considered for evaluation.

Evaluation process

Logos (and, where applicable, designated judges or advisors) will evaluate Submissions against the criteria set out in the relevant RFP specification and any additional criteria Logos considers relevant in its sole discretion, which may include technical feasibility, ecosystem impact, budget availability, team experience, compliance considerations, reputational risk, or any other criteria it deems appropriate.

The evaluation process may involve written dialogue between a Logos representative and the Applicant during which Logos may request clarifications, suggest revisions to milestones, budget, technical scope, or request additional documentation.

Discretion and no obligation

Logos maintains sole discretion in determining whether any Submission satisfies the applicable criteria and whether to select any Submission in response to an RFP, if, in Logos' judgment, no Submission satisfactorily meets the criteria.

Logos is under no obligation to provide reasons for any evaluation decision and no communication or feedback (whether written or oral) shall be construed as a commitment to select a Submission or award a Grant.

Acceptance and Award Preconditions

Notification

If Logos elects to proceed with a Submission following internal review, the Applicant may receive a written notification indicating that the Submission has been selected to proceed to a Grant award stage.

Any such notification, including any change in repository status, label or email communication, is non-binding and for informational purposes only, and shall not constitute an offer, acceptance, or legally binding commitment by Logos to award a Grant or enter into a Grant Agreement.

Additional conditions

Logos may require the Applicant to provide additional identifying, compliance, financial, or other information, and to enter into a Grant Agreement, as conditions to the award of any Grant.

Logos may decline to award a Grant or decide not to proceed with a Submission if requested information is not provided, is incomplete or misleading, if the Applicant fails to comply with Logos' instructions, if the Parties are unable to agree on the terms of a Grant Agreement, or if proceeding would expose Logos or its Affiliates to legal, regulatory, financial, or reputational risk.

Where a Grant Agreement is executed, it shall govern the relationship between the Parties in respect of the project to which the Grant relates and shall prevail over these Terms to the extent of any inconsistency; however, these Terms will continue to apply to your participation in the Program and to any provisions that by their nature should survive, including provisions related to sanctions representations, limitation of liability, dispute resolution and governing law.

Logos may withdraw any conditional acceptance at any time prior to execution of a Grant Agreement, without liability.

Milestone Structure and Post-Acceptance Workflow

Unless agreed otherwise, the project will operate on a milestone-based structure as described in the Submission and finalised in the Grant Agreement. The milestone descriptions included in the Submission serve as a basis for discussion and may be modified, refined or replaced during review or negotiation prior to formalisation of the Grant Agreement.

Code of Conduct

Applicants are expected to behave in a respectful, professional, and constructive manner towards other applicants, Logos personnel, and any judges or community members.

Logos reserves the right, in its sole discretion and without liability, to disqualify any Applicant or team, or to disregard any Submission, where it reasonably believes that such Applicant or Submission is associated with:

  • harassment, discrimination, or abusive conduct;
  • plagiarism or misappropriation of others' work;
  • fraud, cheating, or manipulation of the evaluation process; or
  • any conduct that undermines the integrity, safety, or reputation of the Program, the event, or any Logos projects.

In addition to the Privacy Policy and for the specific purposes of the administration of your participation in the Program, we may process the following personal data, such as your name, contact information, GitHub account, social links, and other information provided in connection with a Submission.

If a Submission is selected to proceed to the Grant award stage, Logos may request additional identifying, compliance, financial or other information necessary to administer the Grant or comply with legal and operational requirements, including information required for sanctions screening or to make payment (such as country of residence, wallet address, or other relevant payment details).

Modifications and Changes to the Program

Logos reserves the right, at any time and in its sole discretion, to:

  • modify these Terms;
  • modify any RFP specification or Program rules;
  • adjust Grant amounts, indicative funding ranges, or milestone payment structures applicable to any RFP or the Program;
  • cancel individual RFPs; or
  • cancel, suspend, or modify the Program or any associated event in whole or in part.

Logos will communicate material changes to the Program through the Program GitHub repository, or other official channels designated by Logos. Your continued participation in the Program after publication of updated Terms or rules constitutes your acceptance of such updates.

All decisions by Logos regarding eligibility, evaluation, and selection of Submissions are final and binding.
